Officer Liability in Tort—Not Just a "Veiled" Threat

Corporations and other limited liability forms provide significant protections to the shareholders, officers, and directors of those organizations by limiting potential personal exposure for corporate debts to the assets invested in the organization. But sometimes those limitations don't hold. All corporate lawyers and litigators are aware of the concept of "piercing the corporate veil" to hold officers, directors, and shareholders personally liable for the debts of a corporation—this may be the most litigated issue in corporate law.

In Mediators We Trust: New Issues in Confidentiality

A colleague in the International Academy of Mediators who teaches a course at Cornell Law School on Alternative Dispute Resolution was rather astonished when he invited his students to critique the new USA Today sitcom "Fairly Legal" on how few exceptions to confidentiality there are when applying California law (the show is based in San Francisco as his clever students noted).

Century City After Hours

Listen, my children, and you shall hear
Of the great Beatles hoax from yesteryears.
It began in the fall of ‘69
With some college students with too much time.
They concocted the rumor that Paul was dead,
With persuasive clues that had me scratching my head.
If I played “Rev 9” backwards I thought I could hear
“Turn me on dead man” – it sounded quite clear.
And Strawberry Fields seemed to have at the end
“I buried Paul” by John Lennon, his friend.
The visual clues were abundant as well.
And the hoax soon wove an elaborate spell.
But within a few months the excitement was gone,
The rumor was hoax, though a whole lot of fun!
